Terms and Conditions

These Terms and Conditions govern the provision of services by Middlemen Service Professionals, LLC (“Middlemen”, “Company”, “we”, “us”, or “our”). By requesting services, allowing services to be performed, accepting services, or submitting payment for any invoice issued by Middlemen Service Professionals, LLC, the customer (“Customer”) agrees to be bound by these Terms and Conditions. If the Customer does not agree to these Terms and Conditions, services should not be requested or accepted.

1. Payment Terms

Payment is due in accordance with the terms stated on the applicable invoice. A service charge of 2.5% per month (30% annually), or the maximum rate permitted by applicable law, may be applied to all past-due balances. As a professional courtesy, Middlemen Service Professionals, LLC provides an automatic five (5) calendar day grace period beyond the invoice due date before late charges are assessed; this courtesy does not alter or extend the payment due date stated on the invoice. Failure to remit payment when due constitutes acceptance of the services performed and the charges invoiced.

2. Dispute Period

Customer waives the right to dispute any portion of an invoice unless written notice of the specific dispute is received by Middlemen Service Professionals, LLC within fourteen (14) calendar days of receipt of the invoice. Failure to provide written notice within this period constitutes acceptance of the invoice as accurate, complete, and payable in full.

3. Suspension of Services

Middlemen Service Professionals, LLC reserves the right to suspend or discontinue services immediately, without liability, if any invoice becomes past due. Services may resume only after all outstanding balances, including late charges and any applicable reinstatement requirements, are paid in full. Customer acknowledges and agrees that Middlemen Service Professionals, LLC shall not be responsible for any damages, delays, operational disruptions, or losses resulting from suspension or discontinuation of services due to non-payment.

4. Collection Costs

Customer agrees to be responsible for all costs of collection associated with unpaid balances, including but not limited to attorney’s fees, court costs, administrative costs, and collection agency fees.

5. Application of Payments

Customer agrees that Middlemen Service Professionals, LLC reserves the right to apply any payments received to any outstanding balances owed by the Customer, including but not limited to open invoices, past-due invoices, accrued late fees, service charges, collection costs, or any other amounts owed to Middlemen Service Professionals, LLC. Unless otherwise agreed in writing by Middlemen Service Professionals, LLC, payments may be applied in any order or manner deemed appropriate by the Company.

6. Subcontractors and Independent Contractors

Middlemen Service Professionals, LLC may utilize subcontractors, independent contractors, vendors, or partner service providers to perform some or all services requested by the Customer. Customer acknowledges and agrees that such subcontractors or independent contractors may perform services on behalf of Middlemen Service Professionals, LLC and that Middlemen retains the right to determine how services are fulfilled and staffed.

7. Force Majeure

Customer agrees that Middlemen Service Professionals, LLC shall not be liable for delays or failure to perform services resulting from circumstances beyond its reasonable control, including but not limited to acts of God, weather events, natural disasters, labor shortages, supply chain interruptions, government actions, pandemics, utility failures, transportation disruptions, or other events commonly referred to as force majeure events.

8. Limitation of Liability

To the fullest extent permitted by law, Middlemen Service Professionals, LLC shall not be liable for any indirect, incidental, consequential, or special damages arising from services provided. In all circumstances, the total liability of Middlemen Service Professionals, LLC shall not exceed the total amount paid by the Customer for the specific services giving rise to the claim.

9. Indemnification

Customer agrees to indemnify, defend, and hold harmless Middlemen Service Professionals, LLC, its owners, employees, contractors, agents, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses arising out of or related to the Customer’s property conditions, the Customer’s failure to disclose material information, unsafe working environments, or the actions of third parties at the property where services are performed.

10. Service Interruptions

Middlemen Service Professionals, LLC shall not be responsible for delays or service interruptions caused by lack of access to the property, restricted work hours imposed by property management, delays caused by other vendors or contractors, unsafe conditions, or circumstances beyond the Company’s reasonable control.

11. Communications Notice

Customer acknowledges that telephone calls and electronic communications with Middlemen Service Professionals, LLC may be monitored or recorded for quality assurance, documentation, training, and operational purposes.

12. Jurisdiction and Governing Law

Any legal action arising from services provided by Middlemen Service Professionals, LLC shall be governed by the laws of the State of Connecticut unless otherwise required by applicable law.

13. Modifications to Terms

Middlemen Service Professionals, LLC reserves the right to update or modify these Terms and Conditions at any time. Updated Terms and Conditions will become effective upon posting on the Company’s website.

14. Entire Agreement

These Terms and Conditions apply to all services and invoices issued by Middlemen Service Professionals, LLC unless otherwise agreed in writing between the parties.
